1. Definitions

Throughout these Terms and Conditions, the following definitions apply:

"Company," "we," "our," or "us" refers to garudahelmes, a business consulting firm registered in Bangkok, Thailand, operating from 159/3 Ratchadaphisek Road, Din Daeng, Bangkok 10400.

"Client," "you," or "your" refers to any individual or organization that accesses our website, submits inquiries through our contact forms, or engages our consulting services.

"Services" refers to the consulting offerings provided by garudahelmes, including but not limited to the Process Diagnostic Workshop, Strategic Growth Advisory, and Organizational Transformation Partnership.

"Agreement" refers to these Terms and Conditions together with any engagement letter or service proposal signed between you and garudahelmes.

"Website" refers to the website located at https://garudahelmes.live and all its associated pages.

2. Acceptance of Terms

By accessing or using our website, submitting a contact form, or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please refrain from using our website or services.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

3. Description of Services

garudahelmes provides business consulting services focused on operational improvement, strategic planning, and organizational change management. Our core service offerings include:

Process Diagnostic Workshop: A two-day on-site engagement involving process mapping, bottleneck identification, and the co-creation of improvement plans for a specific department or business unit.

Strategic Growth Advisory: A six-week advisory program incorporating market positioning analysis, capability assessment, and scenario planning, resulting in a documented growth roadmap.

Organizational Transformation Partnership: A three-month embedded engagement supporting companies through structural or cultural transitions, including readiness assessments, stakeholder alignment, and implementation guidance.

Service availability may vary depending on advisor capacity and scheduling. We reserve the right to modify, expand, or discontinue service offerings with reasonable notice to existing clients.

4. Engagement Process

Consulting engagements with garudahelmes follow this general process:

Initial Inquiry: You contact us through our website, email, or telephone to express interest in our services.

Discovery Conversation: We schedule an introductory discussion to understand your needs, objectives, and organizational context.

Proposal and Scope: Based on our discussion, we prepare a written proposal outlining the scope of work, timeline, deliverables, and fees.

Agreement: Upon your acceptance of the proposal, both parties sign an engagement letter that forms the binding contract together with these Terms and Conditions.

The specific terms of each engagement, including scope, timeline, and payment schedule, are defined in the individual engagement letter. In the event of any conflict between these Terms and a signed engagement letter, the engagement letter shall prevail.

5. Client Responsibilities

To help us deliver our services effectively, clients are expected to:

Provide accurate and timely information, data, and documentation relevant to the consulting engagement. Grant reasonable access to personnel, facilities, and systems as needed for the scope of work. Designate a primary point of contact who has the authority to make decisions and approvals related to the engagement. Communicate feedback, concerns, or changes in direction promptly. Maintain the confidentiality of proprietary tools, frameworks, and materials shared by garudahelmes.

Delays or limitations caused by incomplete information, restricted access, or delayed client decisions may affect the timeline and outcomes of the engagement. We will communicate proactively if such issues arise.

6. Fees and Payment

Service fees are outlined in each engagement proposal. Current published rates for our standard offerings are as follows:

Process Diagnostic Workshop: ฿6,500 THB. Strategic Growth Advisory: ฿24,000 THB. Organizational Transformation Partnership: ฿43,500 THB.

These figures represent base pricing and may be adjusted based on the complexity or specific requirements of your engagement. All prices are quoted in Thai Baht (THB) unless otherwise specified. Applicable taxes, if any, will be identified in the engagement proposal.

Payment Terms: Payment schedules are set out in the engagement letter. For shorter engagements, full payment may be due prior to commencement. For longer engagements, payments may be structured in installments tied to milestones or calendar intervals.

Late Payment: Invoices not settled within 14 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. garudahelmes reserves the right to pause ongoing work if payment remains overdue beyond 30 days.

Refund Policy: If you wish to discontinue an engagement before its scheduled completion, fees for work already performed and time committed will not be refunded. Any unused prepaid fees for work not yet commenced may be refunded at our discretion, less a reasonable administrative charge. Refund requests must be made in writing to [email protected].

7. Intellectual Property

garudahelmes's Materials: All proprietary frameworks, tools, templates, methodologies, and documentation developed by garudahelmes remain our intellectual property. Clients receive a non-exclusive, non-transferable licence to use deliverables produced during the engagement for their own internal business purposes.

Client Materials: Any information, data, or documents provided by the client remain the property of the client. garudahelmes will use such materials solely for the purposes of delivering the agreed services.

Website Content: All content on this website, including text, graphics, design elements, and logos, is the property of garudahelmes or its licensors and is protected by Thai and international intellectual property laws. Reproduction, distribution, or modification of website content without written permission is prohibited.

8. Confidentiality

Both garudahelmes and the client agree to treat all confidential information exchanged during the course of an engagement with appropriate care. Confidential information includes business strategies, financial data, operational details, employee information, and any other material identified as confidential by either party.

This obligation of confidentiality survives the termination of the engagement and continues for a period of two years following the conclusion of services. Confidential information may be disclosed where required by law, regulation, or valid legal process, provided that the disclosing party gives reasonable prior notice where permitted.

9. Limitation of Liability

garudahelmes provides consulting advice and recommendations based on our professional expertise and the information available to us. Ultimately, all business decisions and their consequences remain the responsibility of the client.

To the maximum extent permitted by Thai law, garudahelmes's total liability arising out of or in connection with any engagement shall not exceed the total fees paid by the client for that engagement.

garudahelmes shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to lost profits, lost revenue, or business interruption, regardless of the theory of liability.

Nothing in these terms limits our liability for fraud, wilful misconduct, or any liability that cannot be lawfully excluded under applicable Thai law.

10. Disclaimers

Our consulting services are provided on a professional best-efforts basis. While we bring considerable experience and analytical rigour to every engagement, outcomes depend on many factors beyond our control, including market conditions, organizational dynamics, and the implementation decisions made by the client.

We do not provide legal, tax, or financial advisory services. Where matters touch on those areas, we encourage clients to consult with qualified professionals in the relevant field.

11. Indemnification

You agree to indemnify and hold harmless garudahelmes, its partners, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services or deliverables, or any third-party claims resulting from your use of the recommendations provided during an engagement.

12. Termination

Either party may terminate a consulting engagement by providing written notice to the other party. The notice period and any specific termination provisions will be outlined in the engagement letter for each project.

Upon termination, garudahelmes will deliver any completed or in-progress deliverables up to the date of termination. Fees for work performed through the termination date remain payable.

Sections relating to confidentiality, intellectual property, limitation of liability, and indemnification shall survive the termination of any engagement.

13. Force Majeure

Neither party shall be liable for failure or delay in performing obligations where such failure or delay results from circumstances beyond the reasonable control of the affected party. This includes, but is not limited to, natural disasters, public health emergencies, government actions, civil unrest, power failures, or disruptions to telecommunications or transportation infrastructure.

The affected party shall notify the other party promptly and make reasonable efforts to resume performance as soon as practicable.

14. Dispute Resolution

Governing Law: These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Kingdom of Thailand.

Informal Resolution: In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith discussion and informal negotiation.

Mediation: If informal resolution is unsuccessful within 30 days, either party may propose mediation administered by the Thailand Arbitration Center (THAC) or a mutually agreed mediator.

Jurisdiction: If mediation does not resolve the dispute, the matter shall be submitted to the courts of competent jurisdiction in Bangkok, Thailand.

15. General Provisions

Entire Agreement: These Terms, together with any signed engagement letter, constitute the complete agreement between you and garudahelmes concerning the subject matter herein, superseding all prior discussions and understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

Waiver: Failure by either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. garudahelmes may assign its rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.

16. Changes to These Terms

We may revise these Terms and Conditions from time to time. When we do, we will update the "Last Updated" date at the top of this page. Material changes will be communicated via notice on our website. Your continued use of our website or services following any changes constitutes acceptance of the revised terms.
